The Core Drivers: Why Landlords Are Restructuring

Under s24 of the Finance Act 2015, personal property ownership caps the finance cost relief at a flat 20% tax credit. For the higher rate (40%) and additional rate (45%) taxpayers, the effect of taxing gross turnover rather than net profit is to produce effective tax rates which can routinely exceed 60% of real cash flow. In geared portfolios, landlords will often be paying tax on phantom profits or on loss-making units.

An SPV limited company would eliminate this exposure. The corporate structure would treat 100% of the mortgage interest as a fully allowable trading expense prior to working out the tax charge. The profits remaining in the company would be held at Corporation Tax rates (between 19% and 25%), thus protecting the rental surplus from the higher personal income tax rates.

Crucially, this corporate shield provides a very significant pre-tax reinvestment advantage. The surplus rental income can be directly reinvested into capital expenditure (e.g. heat interface unit replacement, air conditioning, energy efficiency retrofits in the urban luxury portfolio) without any dividend or personal income tax being payable. It is a gross compounding of yield rather than a net compounding and therefore provides a very scalable vehicle for portfolio capital growth.

The Regulatory Friction Points in 2026

The headline tax saving is still very attractive, but getting in during 2026 will involve a lot more compliance complexity and upfront transactional hassle.

Firstly, statutory relief is no longer passive. As a result of the recent procedural changes, Section 162 Incorporation Relief will now have to be expressly claimed on your self-assessment return. Deferral of CGT is still dependent upon meeting HMRC’s strict “business test” (the Ramsay v HMRC test), and this requires you to demonstrate that you are in fact actively managing your portfolio, putting in the requisite amount of time (roughly 20 hours per week) as opposed to simply holding the asset passively.

Secondly, there is the massive cash hit of SDLT. Conveying your own beneficial titles into a connected company will attract market value SDLT (including the higher rate surcharges) unless you can demonstrate that the portfolio has been operating as part of a genuine and documented commercial partnership prior to incorporation. In the absence of such structuring, the immediate SDLT liability can completely wipe out the years of anticipated corporation tax savings.

Corporate governance is now under even more stringent scrutiny. The Economic Crime and Corporate Transparency Act requires all SPV directors and PSCs to complete mandatory identity verification via Companies House. Lenders will now require a verified director code prior to underwriting any refinancing or completing any conveyancing.

The Financial Break-Even Case Study

To quantify the net commercial advantage, take an investor with three prime City of London apartments at a value of £2.4m. That is £120k gross per annum in rental income and £65k in mortgage interest.

Metric Personal Ownership (40% Higher Rate) SPV Ownership (19%–25% Corp Tax)
Gross Rental Income £120,000.00 £120,000.00
Deductible Finance Costs £0 (20% basic credit applied post-tax) £65,000 (100% allowable expense)
Taxable Base £110,000 (after £10k operational costs) £45,000 (net profit)
Annual Tax Bill £22,000.00 £8,550 (at 19% small profits rate)
Annual Tax Savings – £13,450.00

Under personal ownership, Section 24 would force tax against artificial turnover and thus would eat into the cash flow. Within the SPV, the full finance deductibility results in a tax liability of just £8,550 on £45,000 of net profit and thus gives rise to annual recurring savings in excess of £13,400.

The key issue is the payback period on the transition. The initial outlay (lender arrangement fees from the commercial lender at 1.5%-2%, legal conveyancing and valuations) is typically somewhere between £25k and £35k (assuming SDLT partnership relief is available). At £13,450 of tax recovery per annum, the restructuring achieves a net cash break-even in the 24 to 36 month range and thereafter corporate compounding proceeds unchecked.

Strategic Roadmap for City Property Owners

Restructuring your own personal holdings into an SPV is a process which has to be done in a very carefully orchestrated and phased manner in order to minimise the friction and to be able to secure the relevant statutory reliefs.

Do a very detailed viability audit first. Focus on the highly leveraged assets with the most debt (i.e. those with LTVs above 60%) as these are the ones that are most affected by Section 24 and will achieve the quickest break-even in a corporate wrapper. The unencumbered or low-geared units can quite often stay in personal names to avoid the unnecessary legalities.

Secondly, put together your HMRC compliance file well in advance of submission. As Section 162 Incorporation Relief now requires an express claim, you need to have contemporaneous records of active management. Keep detailed records of tenant contact, maintenance, instructions to your letting agent and contracts with your suppliers to meet HMRC’s 20-hour-per-week “business test” conclusively.

Finally, get the lending and the conveyancing properly in sync. Get a specialist commercial mortgage broker involved to source the SPV facility offers in parallel with the property conveyancing. Time the transaction so that it falls exactly with the expiry of the existing fixed rate terms to avoid any early repayment charges (ERCs) which would otherwise eat into the first year’s tax gain by thousands of pounds.
